If you are starting a new business, one of the first decisions that you will have to make is to determine which form of entity to create (sole proprietorship, partnership, LLC, etc.). This decision will have longterm implications. Therefore, you must first understand the advantages and disadvantages of each business structure.

In making a decision, you will want to address the following issues:

  • Size and nature of the business
  • Level of control
  • Level of risk
  • Tax implications
  • Liability and vulnerability to lawsuits
  • Initial cash outlay
  • Continuity of existence
